Resignation & Termination Policy

1. Resignation Triggers

Atlas may resign from any nominee appointment for the following reasons: information provided by the client is found to be false, misleading, or materially incomplete; unlawful activity is suspected or confirmed; the client fails to cooperate with compliance requests or information updates; fees are unpaid after notice; required filing updates are not completed within a reasonable period after notice; or any other circumstance where continued appointment would conflict with legal or regulatory obligations.

2. Notice Process

Atlas will provide written notice of resignation to the client at the last known email or postal address. The notice period will be as specified in the service agreement, unless immediate resignation is required due to suspected unlawful activity or regulatory obligation. During the notice period, the client is expected to make arrangements for replacement appointments and filing updates.

3. Client Duty to Update Filings

Upon resignation or termination, the client is solely responsible for updating all corporate filings, registrations, and records to remove the nominee and appoint any replacements. Atlas is not responsible for delays or consequences resulting from the client's failure to update filings promptly.

4. Failure to Cooperate

If the client fails to cooperate with the resignation process, including failure to update filings or appoint replacements, Atlas reserves the right to resign immediately and to take any lawful steps necessary to remove itself from corporate records, including filing resignation notices directly with relevant government agencies.

5. Record Keeping & Cooperation

Atlas will retain records related to the appointment for the period specified in our Privacy Policy. Atlas will cooperate with lawful requests from regulatory authorities and courts, including after resignation or termination. The client acknowledges that confidentiality does not extend to concealment of unlawful activity.

6. Effect of Termination

Upon termination, all authority granted to Atlas under the service agreement ceases immediately. Any outstanding fees remain due. The obligations of confidentiality, record keeping, and cooperation survive termination as specified in the service agreement.
